The nourilaw.com website (the “Website”) is provided as a service to clients, colleagues, and others for general information only. This information is not designed to provide legal or other advice or create a lawyer-client relationship with Nouri Law Corporation aka Faith Nouri Law (collectively, the “Firm”). You should not take, or refrain from taking, action based on its content. Please do not send The Firm any confidential information until a formal retainer agreement has been signed. Unsolicited emails from non-clients do not establish a lawyer-client relationship, may not be privileged, and may be disclosed to others. - Choice of Law; Arbitration; Attorney’s Fees and Costs.
- Choice of Law. This Agreement and any dispute arising hereunder shall be governed by the laws of the State of California, without regard to the conflicts of law provisions thereof.
- Arbitration. ALL DISPUTES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR ANY ASPECT OF THE RELATIONSHIP BETWEEN YOU AND THE FIRM, WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION OR ANY OTHER LEGAL THEORY, WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL ARBITRATOR INSTEAD OF IN A COURT BY A JUDGE OR JURY. YOU AND THE FIRM HEREBY WAIVE THE RIGHT TO TRIAL BY A JURY. YOU AGREE THAT ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS, AND THAT CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. YOU ARE EXPRESSLY AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION. The arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules and Mediation Procedures. Any arbitration hearing will be held in Huntington Beach, CA, USA. The applicable governing law will be California law (provided that with respect to arbitrability issues, federal arbitration law will govern). The arbitrator’s decision will follow the terms of this Agreement and will be final and binding. The arbitrator will have authority to award temporary, interim or permanent injunctive relief or relief providing for specific performance of this Agreement, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The award rendered by the arbitrator may be confirmed and enforced in any court having jurisdiction thereof. This clause shall not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
- Attorney’s Fees and Costs. In any arbitration proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys’ fees.
- Miscellaneous Provisions.
- If any provision of this Agreement is held to be illegal, invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force.
- Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
- The Firm’s failure to act with respect to any failure by you or others to comply with this Agreement does not waive the Firm’s right to act with respect to subsequent or similar failures.
- These Terms of Use set forth the entire understanding and agreement between you and the Firm with respect to the subject matter hereof.
- Any cause of action or claim you may have with respect to this Agreement or the Website must be commenced within six (6) months after the claim or cause of action arises or such claim or cause of action shall be barred.
- You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of the Firm, and any assignment or transfer in violation of this provision shall be null and void.
- The Firm reserves the right to seek all remedies available at law and in equity for violations of this Agreement and/or the rules and regulations set forth on the Website, including without limitation the right to block access from a particular internet address.
